Terms of Service

unifo.co.il — End User License Agreement (EULA) for the Unifo Software

In short: Unifo is sold as a recurring subscription (monthly or annual). It renews automatically and is billed in advance each billing period until you cancel. You may cancel at any time — cancellation stops future renewals and takes effect at the end of the paid period. A tax invoice/receipt is issued for each payment.

IMPORTANT: PLEASE READ THIS AGREEMENT CAREFULLY BEFORE INSTALLING OR USING THE SOFTWARE. By installing, copying, or otherwise using Unifo ("the Software"), you agree to be bound by the terms of this End User License Agreement ("Agreement"). If you do not agree, do not install or use the Software.

1. License Grant

The developer grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on the number of computers permitted by your license, for personal or internal business purposes, subject to the terms of this Agreement and to an active subscription or valid license key.

The Software may be used free of charge for a trial period of fourteen (14) days from the date the trial is started. The trial is limited to one trial per installation/device. After the trial period expires, an active subscription or a valid license key is required to continue using the Software.

The Software is offered as an ongoing, subscription-based service.

The Software is an ongoing service that depends on the developer's online license-validation service to start and to remain authorized. Because it is a service, your license is revocable as described in this Agreement.

The Software and all copies thereof are proprietary to the developer and title remains with the developer. All rights in the Software not specifically granted in this Agreement are reserved to the developer. The Software includes third-party open-source components that are provided under their own license terms; those components remain the property of their respective owners and are used in accordance with their licenses. A list of such components and their licenses accompanies the Software in its third-party notices.

7. Data and Privacy

The Software processes your files locally on your computer. Files submitted for processing are not transmitted to external servers. For license validation and seat-limit enforcement, the Software generates a random installation identifier on first launch (a UUID that has no connection to your hardware, identity, or files) and transmits it to Unifo's license-verification servers along with your license key and application version. This identifier is used solely to count the number of active installations permitted under your license and to manage trials. It is not shared with third parties and cannot be used to identify you personally. For full details, see the Unifo Privacy Policy.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THE DEVELOPER DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

9. Limitation of Liability

IN NO EVENT SHALL THE DEVELOPER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE DEVELOPER'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. The developer may also terminate or suspend your access as described in Section 4. Upon termination, you must cease all use of the Software and destroy all copies.

11. Updates

The developer may provide updates or new versions of the Software at its discretion. This Agreement applies to all updates unless a separate agreement accompanies the update.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law principles.

13. Entire Agreement

This Agreement constitutes the entire agreement between you and the developer regarding the Software and supersedes all prior agreements and understandings.
